THE UNCONDEMNED

TERMS OF USE

By accepting the “The Uncondemned” DVD including any accompanying resources (the “Film”), Licensee agrees to be bound by these Terms of Use, which contain all of the terms and conditions for use by the Licensee of the Film.  If Licensee does not agree to abide by these Terms of Use, the Licensee may not use the Film. These Terms of Use cannot be modified without the express written consent of Film at 11 Media LLC

This agreement is made to grant the Licensee a single license for one non-broadcast, public exhibition of the film “The Uncondemned.” Film at 11 Media LLC grants to the Licensee, without warranty, the limited, non-exclusive, non-transferable license to use the Film for educational outreach purposes ONLY, and specifically for non-broadcast and non-theatrical uses, excluding web use. Please note that the Film must be exhibited in its entirety, complete with original production credits and copyright notice, and shall not be altered or modified in any way.


The Licensee expressly acknowledges and agrees that the Film shall be used only for the permitted purposes as set forth in this Agreement and for no other purpose. The Licensee shall not permit the Film to be sold, lent, transferred, duplicated, copied or made available to any other party not specified herein at any time or in any manner other than as provided for in this Agreement. If applicable, Licensee will use good faith efforts to control and prohibit the unauthorized copying or duplication of the Film in any manner. The DVD must be returned within 5 business days after the screening date to Peace is Loud, 25 E 21st St, 7th Floor, New York, NY 10010.

Licensee acknowledges and agrees that, as between Licensor and Licensee, Licensor is the exclusive owner of all right, title and interest in and to the Film, subject only to the non-exclusive license herein. Licensor hereby reserves all rights in and to the Film not expressly licensed herein.


Licensee further agrees to discontinue use of the Film immediately upon Film at 11 Media LLC’s request. Under no circumstances may Licensee permit the Film or any portion thereof to be posted on the Internet or stored in an electronic retrieval system, archive or library.

Licensee shall at all times indemnify, defend and hold Film at 11 Media LLC harmless from and against all claims, damages, expenses and liability, including reasonable attorneys’ fees and costs, arising out of the unauthorized use of the Film by Licensee or by any third party as a result of any act or omission by Licensee or arising out of the breach or alleged breach by Licensee of any representation, warranty or other part of these Terms of Use.
